1. Agreement
These Terms of Service govern your access to and use of websites, accounts, identity systems, research materials, documentation, APIs, organization resources, developer tools, streams, recordings, and other services operated by Sidewatts, Inc. (collectively, the Services). By accessing or using a Service, you enter a binding agreement with Sidewatts and accept these Terms.
If you use a Service for an organization, you represent that you have authority to bind that organization. If a signed agreement, order form, or product-specific term conflicts with these Terms, the more specific instrument controls for that Service.
2. Conditions of access
You must be legally capable of entering this agreement and must meet the minimum age required by applicable law. Certain Services are private, experimental, invitation-only, or restricted to approved organizations. Access is permission, not entitlement. It may be withheld, conditioned, narrowed, or withdrawn.
You will provide accurate information, comply with applicable law, and use the Services only for lawful purposes consistent with the access granted to you.
3. Accounts and credentials
You are responsible for activity conducted through your account and for maintaining control of passwords, passkeys, recovery methods, one-time codes, sessions, devices, API credentials, and OAuth client secrets. You must notify security@sidewatts.com promptly if compromise is suspected.
Sidewatts may require additional verification before credential changes, recovery, data export, organization administration, developer-client changes, or other sensitive operations. You may not sell, transfer, lend, or share access unless Sidewatts expressly permits it.
4. Identity, organizations, and connected systems
Sidewatts Identity may authenticate you to Sidewatts systems and to applications you authorize. Organization administrators may control membership, roles, verified domains, applications, scopes, and access to organization resources. Their actions may affect your account within those resources.
Developers are responsible for their applications, redirect URIs, consent disclosures, requested scopes, token handling, secrets, and downstream use of identity data. Authorization to receive data is limited to the scope, purpose, and duration presented to the user.
5. Prohibited conduct
You may not use the Services to injure people, compromise systems, defeat controls, conceal abuse, or appropriate information to which you have no right. This prohibition includes attempts, preparation, and assistance.
- Do not probe, scan, exploit, overload, disrupt, reverse engineer, or bypass a Service except under express written authorization.
- Do not defeat rate limits, authentication, access restrictions, robots controls, technical safeguards, or monitoring.
- Do not impersonate another person or organization, misstate an application's identity, or obtain credentials or consent by deception.
- Do not introduce malware, destructive code, unlawful surveillance, spam, harassment, infringement, or content that violates another person's rights.
- Do not use research, technical materials, or access to develop or operate weapons, destructive systems, or unsafe high-consequence applications without Sidewatts' express written approval.
6. Research and technical materials
Sidewatts publishes and provides technical material for information, evaluation, and research. Conditions change. Measurements fail. Models omit reality. Documentation can be incomplete or wrong. You must independently verify any material before using it in engineering, operational, financial, regulatory, medical, safety-critical, or other consequential decisions.
No Service is a substitute for qualified professional judgment, physical inspection, appropriate testing, redundancy, or compliance review. You bear responsibility for the systems you design, energize, deploy, or operate.
7. Restricted and pre-release material
Nonpublic material may be confidential, embargoed, export-controlled, security-sensitive, or limited to a named audience. You may use it only for the purpose and duration for which access was granted. You may not reproduce, publish, transmit, benchmark publicly, or disclose it without authorization.
Pre-release Services may fail without warning, lose data, change incompatibly, or cease to exist. Do not depend on them for production, emergency, regulated, safety-critical, or irreversible work unless a separate written agreement expressly permits that dependence.
8. Your material
You retain rights you hold in material you submit. You grant Sidewatts the limited rights required to receive, host, process, transmit, secure, back up, and display that material to operate the Services and follow your instructions.
You represent that you have authority to submit the material and permit its processing. Do not submit trade secrets, regulated records, personal data, hazardous instructions, or third-party confidential information unless the Service is expressly suitable for it and you have established the necessary safeguards and permissions.
9. Sidewatts rights
Sidewatts and its licensors retain all rights in the Services, software, interfaces, research, documentation, designs, names, marks, and materials they provide. No license is granted except the limited, revocable, non-exclusive right to use a Service in accordance with these Terms.
If you provide feedback, Sidewatts may use it without restriction or compensation. Sidewatts will not treat customer content as public feedback without permission.
10. Paid Services
Prices, taxes, payment timing, access periods, renewal terms, usage limits, and cancellation rights are stated at purchase or in a separate agreement. Except where law requires otherwise, charges for access already delivered are non-refundable. A payment provider may process payment details under its own terms.
11. Suspension and termination
Sidewatts may immediately suspend, restrict, or terminate access when necessary to address suspected misuse, compromise, legal exposure, nonpayment, operational risk, or harm to Sidewatts, users, infrastructure, or third parties. Sidewatts may preserve evidence and cooperate with lawful authorities.
You may stop using the Services at any time and may request account deletion through available account controls. Provisions that by their nature should survive termination—including ownership, confidentiality, disclaimers, liability limits, and dispute terms—will survive.
12. No warranties
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICES ARE PROVIDED AS IS AND AS AVAILABLE. SIDEWATTS DISCLAIMS ALL EXPRESS, IMPLIED, AND STATUTORY WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, AVAILABILITY, AND SECURITY.
Sidewatts does not promise that a Service will be uninterrupted, error-free, complete, current, secure, or suitable for any particular system or consequence. Nothing in these Terms excludes a warranty or right that applicable law does not permit Sidewatts to exclude.
13. Limits of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, SIDEWATTS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES; LOSS OF DATA, PROFITS, REVENUE, GOODWILL, OPPORTUNITY, OR EXPECTED SAVINGS; OR DAMAGE ARISING FROM RELIANCE ON TECHNICAL MATERIALS, SERVICE INTERRUPTION, UNAUTHORIZED ACCESS, OR THIRD-PARTY CONDUCT.
For claims arising from a paid Service, Sidewatts' aggregate liability will not exceed the amount you paid Sidewatts for that Service during the twelve months before the event giving rise to the claim. For a free Service, aggregate liability will not exceed one hundred United States dollars. These limits do not apply where prohibited by law.
14. Indemnity
If you use the Services for an organization, that organization will defend and indemnify Sidewatts and its personnel against third-party claims, losses, liabilities, and reasonable costs arising from its material, applications, integrations, instructions, misuse, or violation of these Terms, except to the extent caused by Sidewatts' unlawful conduct.
15. General
Sidewatts may update these Terms to reflect changes in law, risk, or the Services. Material changes will be identified by a new effective date and communicated where required. Continued use after revised Terms take effect constitutes acceptance to the extent permitted by law.
If any provision is unenforceable, it will be narrowed to the minimum extent necessary and the remainder will continue. Failure to enforce a provision is not a waiver. You may not assign this agreement without Sidewatts' consent; Sidewatts may assign it in connection with a reorganization, financing, sale, or transfer of the Services.
